Legal & Transaction Support Associate
Role Overview
We are seeking a highly organised and commercially aware Legal & Transaction Support Associate to join a growing Paying Agent team. This role provides critical legal and operational support on large-scale M&A and corporate transactions, working closely with leading law firms, private equity clients, and internal stakeholders.
As Paying Agent, the team plays a central role in the execution of transaction payments, ensuring that funds are distributed accurately, securely, and on time during complex corporate deals.
This position will support senior commercial and product leadership, helping coordinate legal documentation, client onboarding, and operational processes to ensure transactions run smoothly.
The role requires a candidate with a legal background within financial services, strong administrative and coordination skills, and the ability to work across multiple stakeholders including external counsel, internal legal teams, compliance, and product teams.
Key Responsibilities
Transaction & Legal Documentation Support
- Review and coordinate negotiation of transaction-related agreements including:
- Paying Agent Agreements (PAA)
- Escrow agreements
- Application forms and supporting documentation
- Coordinate documentation between external client counsel and internal legal teams.
- Obtain executed Share Purchase Agreements (SPAs) and maintain transaction documentation records.
- Support legal documentation workflows for M&A transactions and corporate events.
Client Onboarding & KYC Coordination
- Manage client onboarding processes through Salesforce CRM, including generating onboarding packs.
- Coordinate Know Your Customer (KYC) documentation with clients and submit to internal Compliance / Account Opening teams.
- Track onboarding progress and ensure documentation requirements are completed in a timely manner.
Transaction Coordination
- Support the Paying Agent team throughout the lifecycle of a transaction, helping ensure payments are executed correctly and on schedule.
- Liaise with internal stakeholders including legal, compliance, product, and operations teams.
- Assist in coordinating the payment execution process post-closing.
Operational Development & Process Improvement
- Work with internal product and commercial teams to develop and refine operating procedures.
- Assist in building scalable workflows for:
- Client onboarding and KYC
- Legal documentation management
- Payment execution support
- Identify opportunities to improve efficiency and process management within the Paying Agent function.

- Ability to coordinate multiple stakeholders including law firms and internal teams
- Strong communication and relationship management skills
- Ability to manage multiple transactions simultaneously in a fast-paced environment
- Process-driven mindset with an interest in operational improvement
Experience & Qualifications
- Legal background or experience within financial services, banking, or corporate transactions
- Experience supporting legal documentation, contract review, or transaction processes
- Familiarity with M&A transactions, private equity structures, or corporate finance processes is advantageous
- Basic understanding of KYC / AML requirements in financial services
- Experience using CRM systems (preferably Salesforce) is beneficial
- Experience working with law firms or legal teams is desirable
